1. PURPOSE
----------
Partner resells Velaru's **Silent AI Proof Sprint** and **Proof Relay Monitor**
under Partner's brand. Velaru operates the verify rail, enrollment, receipts,
and stranger verify at /verify. Partner owns the retail client relationship,
submission narrative, and pricing to insured.


2. WHITE-LABEL MODEL

• Partner-branded SOW and client-facing status page (co-brand on request).
• Velaru does not appear on Partner's client calls unless Partner invites.
• Stranger verify URL is public — no Velaru login required for counsel/underwriter.
• Deliverables: handler receipt, pre-dispute export, optional 90-day monitor.


3. PARTNER PRICING (pick Model A or B on signature line)

MODEL A — WHOLESALE (recommended for ProExec / renewal desks)
  Sprint (per insured):     $4,500 wholesale  (Partner retails $7,500–$12,000)
  5-pack same renewal cycle: $18,000 wholesale
  Proof Relay Monitor:      $199/mo wholesale  (Partner retails $249/mo+)

MODEL B — REV SHARE
  Sprint:    60% Velaru / 40% Partner of collected retail fee
  Monitor:   80% Velaru / 20% Partner of collected monthly fee

Minimum to activate: **one sprint OR three monitor accounts**. No territory exclusivity.


4. PAYMENT & BILLING
--------------------
Sprint: Partner pays Velaru **50% on signed Partner Order Form**; work begins on
receipt. Balance **50% on delivery** of verify-ready bundle.

Monitor: Partner bills retail client. Partner remits wholesale ($199/mo per account
under Model A) to Velaru **monthly in arrears** by the 15th, or passes through
Velaru invoice if co-billing is easier.

Late payment: Velaru may suspend verify/monitor after 15 days written notice.


5. RECURRING MONITOR (PASS-THROUGH)

Every sprint SOW **must include** language offering Proof Relay Monitor:
  • 90 days included with sprint, then auto-renew at Partner's retail rate unless
    cancelled per Velaru status-page workflow.
  • Monitor wholesale to Velaru: $199/mo (Model A) or rev share (Model B).

Partner Order Form lists monitor SKU and expected account count.


6. PARTNER OBLIGATIONS
----------------------
• Accurate insured identity and workflow scope on each order.
• No representation that Velaru is insurer, law firm, or coverage guarantor.
• Use live links only: velaru.onrender.com/verify and velaru.onrender.com/demo/hero
• Notify Velaru of any regulatory or carrier inquiry involving verify receipts.


7. VELARU OBLIGATIONS

• Operate verify rail, enrollment, and export within agreed sprint window (typically
  7–10 business days from kickoff).
• Provide Partner demo + verify links for submissions.
• Monthly monitor uptime reasonable-efforts; status at enrolled bundle URL.


8. IP & DATA
------------
Velaru owns the platform, receipt format, and verify infrastructure. Partner owns
client contracts and retail marks. Receipts and exports are for Partner's insured;
Velaru may retain anonymized operational logs for integrity and billing.


9. TERM & TERMINATION
---------------------
Effective on signature. Either party may terminate on **30 days written notice**.
Existing monitor accounts run through paid period; Partner remits through final month.


10. CONFIDENTIALITY
-------------------
Non-public pricing and insured identities are confidential. Public verify URLs and
demo links are not.


11. LIMITATION
--------------
Velaru provides evidence infrastructure, not legal advice or insurance coverage.
Partner is responsible for retail compliance and E&O.
